for Japanese Users

TSB Gaming Ltd. a company incorporated in Malta, and its subsidiaries and affiliates (“TSB” “us”, “our”, or “we”) makes available The Sandbox (as defined in the Terms) to users pursuant to The Sandbox Terms of Use available at https://www.sandbox.game/en/terms-of-use/ (the "Terms"). These Supplemental Terms of Use relating to Japanese Users ("Japanese Terms") govern the offering of the Services and use of The Sandbox by residents of Japan (“Japanese Users” or “you”), and apply in addition to the Terms, which are incorporated herein by reference. Capitalized terms not otherwise defined herein shall have the meaning set forth in the Terms. 

Purpose 

Japanese laws and regulations may restrict the distribution to Japanese Users of digital assets such as SAND tokens and NFTs as rewards for playing games or engaging in similar activities in The Sandbox (“Play to Earn”). To ensure compliance, these Japanese Terms set forth the additional restrictions and conditions on Play to Earn applicable to Japanese Users. By continuing to use the Services, creators and Japanese Users agree to these Japanese Terms (in addition to the Terms) and that these terms differ from those applicable to users and Play to Earn outside of Japan.

Reward NFTs

TSB or other users of The Sandbox may sell, and Japanese Users may be able to purchase, NFTs or other digital assets that can be used to earn rewards upon the completion of certain games or tasks in The Sandbox (each such NFT or digital asset hereinafter referred to as a “Reward NFT”). In such cases, Japanese Users who own a Reward NFT will be ineligible to receive SAND or any other digital asset with a value in excess of ¥100,000 or 20 times the purchase price of the Reward NFT, whichever is lower, as a reward for completion of any such game or task. If Japanese Users are rewarded simply for playing a game, they will be ineligible to receive SAND or any other digital asset with a value in excess of \200 or 20 percent of the purchase price of the Reward NFT, whichever is higher. At the sole discretion of TSB or the operator of the applicable game, Japanese Users may instead receive SAND or a different NFT with a value of less than the above limits as a reward for completing such game or task or for playing games, as applicable. If no market price for an NFT exists, such NFT’s notional market value may not exceed the above limits considering the value of similar NFTs. 

Contests and Events (including Game Jams)

TSB or other users of The Sandbox may periodically hold contests for the creation of games or NFTs or other events where participants may be rewarded with digital assets such as SAND and NFTs. 

If, as applicable (a) no purchase of an NFT or payment of SAND or other digital asset or any currency is required to participate or receive rewards in such contest, or (b) the use of a purchased NFT or other paid item does not provide any advantage over players without paid items in such contest, then Japanese Users will be eligible to receive rewards in the same manner and pursuant to the same terms as other permitted users of The Sandbox.

If the purchase of a Reward NFT is required to participate or receive a reward in a contest, then Japanese Users who own a Reward NFT will be ineligible to receive SAND or any other digital asset with a value in excess of ¥100,000 or 20 times the purchase price of the Reward NFT, whichever is lower.

TSB may change or add to the content of, and/or the terms and rules relating to, any contest or other event in The Sandbox governed by these Japanese Terms, in whole or in part, without prior notice. TSB shall not be liable for any damages incurred by Japanese Users as a result of such changes to or the termination of such contest or other event (including any rewards that can no longer be earned as a result of such changes or termination). 

Governing Law and Choice of Forum

The law governing the relationship between Japanese Users and TSB exclusively with respect to these Japanese Terms shall be Japanese law. All other rights and obligations arising out of a Japanese User’s use of The Sandbox and the Services shall be governed by the governing law set forth in the Terms. Japanese Users agree that all any proceeding arising out of the Japanese Terms shall be brought only in the courts named in the Term. 

Amendment

TSB reserves the right to amend these Japanese Terms at any time. Any Japanese User using The Sandbox or the Services after an amendment has become effective accepts the Japanese Terms as amended. A Japanese User who does not accept the amended Japanese Terms shall cease use of the Services. Japanese Users agree to review the latest version of these Japanese Terms from time to time.
